Abstract

This research study critically examines the corporate governance structure in the Anglo-American countries and in comparison with corporate governance provisions and implementation structures available in Nigeria. It highlights Nigeria's current position in corporate governance matters such as disclosures, enforcement,board

composition, qualification and appointment, board diversity, and political interference.

Semi-structured interviews were conducted, and participants were strategically selected to include experts in the field of corporate governance. The participants selected are mainly company secretaries of top quoted companies in Nigeria. The selection was cut across various industries (e.g banks, pharmaceuticals, health & wellness, manufacturing, corporate governance consultants etc), in order to obtain views from diverse perspectives. Some of the company secretaries also doubled as directors, and some regulators hence giving an even wider perspective based on diverse roles and experience. These variables will be considered using a sample size of 12 respondents from various publicly quoted companies in Nigeria. The governance structures of the companies will be critically examined (if any), and

analysed based on the above listed variables. This research draws attention to the constraints, drawbacks and loopholes impeding the growth and development of corporate governance in Nigeria. Other pertinent issues such as Nigeria's adoption of the western model of corporate governance and how suitable the western model is for our clime in Nigeria is examined. Suggestions

to redress corporate governance problems in Nigeria are offered and ideas on how to attain effective corporate governance practices across board given.
